AI Addendum

This AI Addendum (“Addendum”) forms part of each Agreement between Customer and F5. Unless otherwise expressly defined in this Addendum, the capitalized terms used in this Addendum have the meanings assigned to them in the Agreement.

  1. Defined Terms:

    Agreement” means the agreement between F5 and Customer pursuant to which F5 provides the F5 Products.The term does not include any contract with a reseller, distributor, or similar intermediary of the F5 Products.

    Customer” means the entity to which F5 provides the F5 Products pursuant to an Agreement.

    Documentation” means any user manuals, help files, technical information, materials, or other documentation, in whatever form, which are provided by F5 and made available to Customer for use of F5 Products, as updated by F5 from time to time.

    F5” means the F5 entity with which Customer has entered the applicable Agreement.

    F5 Products” means, collectively, the SaaS Offerings, any Hardware, any Software, and SDKs, provided by F5 to Customer, as set forth in an Order.

    Hardware” means any hardware devices purchased from F5 or an Authorized Distribution Partner or otherwise provided as part of an F5 Product.

    Model” is a system or subsystem that has been trained on a set of data and used for prediction, such as content creation, classification, pattern recognition, and/or anomaly detection (collectively, “Inferences”), without being expressly programmed to produce a result for every possible input or combination of inputs.

    Order” means any ordering document or online order that identifies the F5 Products and/or services licensed or sold and any applicable subscription or licensing parameters and is subject to this Agreement.

    SaaS Offerings” means the cloud service offerings provided to Customer by F5 under an Agreement.

    SDK” means F5’s proprietary software development kits.

    Software” means the object code version of F5’s or its licensors’ proprietary computer programs made available by F5 for download by Customer (including for use in connection with any SaaS Offerings), including any Updates.

    Subscription Term” means the term for any F5 Products provided under an Agreement.

    Updates” means any correction, update, upgrade, patch, or other modification or addition to Software made by F5 or its licensors.
  2. AI Governance. F5 will implement and maintain an artificial intelligence governance program, which includes policies and procedures that align with ISO/IEC 42001 or other equivalent industry standard. This program will (i) incorporate the responsible use of artificial intelligence; (ii) require the development, testing, and deployment of artificial intelligence incorporated in F5 Products in accordance with the program’s policies and procedures; (iii) require F5 to conduct training programs for employees’ proper use of artificial intelligence; and (iv) require F5 to perform on-going, post-deployment monitoring of the artificial intelligence incorporated in F5 Products. F5 will provide any artificial intelligence features or functionality in compliance with all laws, regulations, and other legal requirements applicable to F5.
  3. Warranties. F5 warrants that the Documentation for the F5 Products provided to Customer during a given Service Term is accurate regarding F5’s incorporation of Models in the F5 Products.
  4. F5 Products Offering Ability to Opt-in to use of AI Features and Functionality. Where an F5 Product provides optional or supplemental functionality that incorporates a Model but does not require leveraging such Model to perform its core function, Customer may choose whether to enable or use the features or functionality that leverage such Model. If Customer has subscribed to an F5 Product that did not incorporate a Model at the beginning of the Subscription Term for such F5 Product and F5 later decides to implement during the Subscription Term a modification to the F5 Product that incorporates a Model, then F5 will notify Customer of the change as indicated in Section 6 below and Customer will have the option to continue to use the unmodified F5 Product during such Subscription Term or to opt-in to the modified F5 Product that incorporates a Model.
  5. Changes to Models. If Customer opts-in to use or enables features or functionality within an F5 Product leveraging a Model during a Subscription Term or purchases an F5 Product that requires leveraging a Model to perform its core function, each time F5 modifies such Model during the Subscription Term, F5 will provide Customer with notification of the change as indicated in Section 6 below unless exigent circumstances require a new Model to be reverted or released, in which case Customer will be notified as soon as practicable. Where Customer has opted-in to or enabled features or functionality leveraging a Model pursuant to Section 4, Customer may opt-out of the use of such functionality or features utilizing the changed Model for the remainder of the Subscription Term. Customer acknowledges that functionality or features of the F5 Products that leverage a Model for which Customer has opted-out may have diminished efficacy or may not be available to Customer. Where an F5 Product leverages a Model to perform its core function, F5's modification of such Model does not give rise to any right to opt-out of the modified Model and continue to use the F5 Product, and Customer acknowledges that the F5 Product will continue to leverage the modified Model to perform its corefunction. Because such F5 Products cannot function without a Model, Customer's election to cease using such F5 Products following a Model modification does not give rise to any entitlement to a refund or credit. Where an F5 Product is deployed on infrastructure owned or controlled by Customer, F5 will make updated Models available to Customer for download and deployment. Customer is responsible for deploying such updated Models in a timely manner.
  6. Notification of Changed Models. F5’s notification of new or changed Models will be provided via RSS feed (or such other method as F5 may designate from time to time) and will include copies of, or hyperlinks to, the following Documentation: (a) an executive summary that outlines the purpose of the Model, its limitations and major assumptions; (b) description of the Model’s purpose and design; (c) products, processes or applications that the Model will support; (d) procedures used to test or validate Model outputs and results of those procedures; (e) discussion of the appropriate application of the Model outputs and any limitations; and (f) whether and frequency the Model is expected to be changed. For the avoidance of doubt, the notification described in this Section 6 is separate from, and does not constitute, any formal notice required under the Agreement.
  7. Additional F5 Obligations. Upon request by Customer, made no more than once in the twelve (12) month period following the introduction of a given Model, F5 will use commercially reasonable efforts to assist Customer in performing Customer’s assessment of such Model incorporated into an F5 Product, including providing reasonably requested information. F5 may consolidate its response to multiple assessment requests relating to Models introduced during the same period. Notwithstanding anything to the contrary herein, F5 is not required to disclose any trade secret of F5. F5’s obligations in this section do not apply to Models that F5 uses internally (e.g., for code or rule development, drafting sales communications, or alerting for operations) or to support or chat bots, where such Models’ inferences are used and interpreted by a human in support of, but not incorporated in, the F5 Products provided to Customer under this Agreement.
